Authorless Affiliate Program Terms and Conditions
1. Eligibility and Enrollment
To participate in our Affiliate Program, you must be at least 18 years old and have the legal capacity to enter into binding contracts. Complete the registration on our website to apply. We reserve the right to approve or reject any application at our sole discretion.
2. Relationship with Authorless Terms and Conditions
By registering for or participating in our Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by both these Authorless Affiliate Program Terms and Conditions and the Authorless Terms and Conditions.
In the event of any conflict between these Authorless Affiliate Program Terms and Conditions and the Authorless Terms and Conditions regarding the Affiliate Program, these Authorless Affiliate Program Terms and Conditions shall prevail. For all other matters, the Authorless Terms and Conditions shall govern.
3. Affiliate Obligations
You agree to promote Authorless in a professional manner consistent with our brand. You must comply with all applicable laws and clearly disclose your affiliate relationship as required by law.
4. Prohibited Activities
You shall not: - Generate self-referrals or create fictitious accounts - Engage in cookie stuffing or manipulate tracking - Offer unauthorized rebates or incentives to referred customers - Send spam to promote our service - Promote our service on websites containing adult content, hate speech, or illegal activities - Use misleading or deceptive marketing practices - Register domains or run ads using our trademarks or variations
5. Commission Structure
Commission rates and duration periods are displayed in your affiliate dashboard. Commissions are earned when referred customers convert to paid subscriptions. We reserve the right to modify the commission structure with 30 days' notice.
Commissions apply only to base recurring subscription revenue and do not include any other revenue generated by a referred customer. This means commissions will not be paid on any subscription upgrades, add-ons, managed services, additional credit purchases, or any other products or services beyond the base subscription, even if these are recurring charges. Commission is calculated based on the net base subscription revenue received by us each month, excluding taxes, refunds, chargebacks, and fraudulent transactions.
If a referred customer creates a new Organization with a subscription (including subscriptions with multiple seats), you will be eligible for commission based on the total base subscription value of that Organization. However, if a referred customer joins an existing Organization that already has a subscription in place without creating a new subscription, you will not be eligible for any commission.
If a referred customer cancels and later resubscribes after the initial commission period has elapsed, no additional commissions will be owed for such resubscription.
6. Tracking and Attribution
We use cookies to track referrals for a 30-day period. If multiple affiliates refer the same customer, the commission goes to the last affiliate whose link was clicked before registration. Our tracking data is final in case of any discrepancies.
We shall not be liable for any lost earnings, commissions, or referral fees resulting from technical issues, tracking failures, or attribution errors, regardless of cause. You acknowledge that technical limitations and failures are an inherent risk in online tracking systems.
7. Payment Terms
- Payments are made quarterly with fixed cutoff dates on the 1st of March, 1st of June, 1st of September, and 1st of December
- All commissions earned during a quarter will be paid within 30 days following the quarterly cutoff date
- Minimum payment threshold is £50
- Payments are made via bank transfer in Great British Pounds (GBP)
- You're responsible for providing accurate payment information
- You're responsible for all taxes related to your commissions
- We reserve the right to withhold payment in cases of suspected fraud, violations of these terms, or if required by law
8. Clawback and Overpayment
If a referred customer cancels or receives a refund after we've paid your commission, we reserve the right to deduct the corresponding amount from future commission payments.
If we overpay you for any reason (calculation errors, technical issues, etc.), we may withhold future payments until the overpaid amount is recovered. If future commissions are insufficient to cover the overpayment, you agree to reimburse us upon request.
9. Term and Termination
Either party may terminate this agreement at any time with written notice. We may terminate immediately if you violate these terms or engage in harmful conduct. Upon termination, you must remove all affiliate links and will receive earned commissions provided all conditions are met.
10. Intellectual Property
We grant you a limited license to use our trademarks and marketing materials solely for promoting our service. This license terminates if our agreement ends.
11. Limitation of Liability
To the extent permitted by law, we are not liable for indirect, special, or consequential damages related to this agreement. Our total liability shall not exceed commissions paid to you in the one month preceding any claim.
We shall not be liable for any changes to our service, business model, pricing structure, or marketing strategies that may affect your potential earnings.
Any claim against us must be brought within six months after the cause of action arises, or such claim shall be forever barred.
12. Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your breach of these terms or your promotion of our service.
13. Dispute Resolution
The parties shall attempt in good faith to resolve any dispute through negotiation. If negotiation fails, disputes shall be resolved by arbitration in London, England, in accordance with the rules of the London Court of International Arbitration.
14. Modifications
We reserve the right to modify these terms by providing notice via email or posting on our website. Your continued participation constitutes acceptance of revised terms.
15. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales.
16. General Provisions
These terms constitute the entire agreement between the parties and supersede all prior communications and proposals.
Nothing in these terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between the parties.
If any provision of these terms is found to be unenforceable or invalid, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
The following sections shall survive termination: Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.
17. Assignment
You may not assign or transfer this agreement or any of your rights or obligations without our prior written consent. Any attempted transfer or assignment without our consent shall be null and void.
